1. Agreement to Terms

• Leads IQ: Intent-based lead generation
• Blue Siren Digital Ads: Performance-based digital advertising

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.

3. Account Registration

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4. Payment Terms

4.1 Fees and Billing

Subscriptions automatically renew at the end of each billing period unless cancelled prior to renewal. You authorize us to charge your payment method on file for recurring fees.

4.4 Taxes

For lead generation services (Leads IQ), you acknowledge that lead quality and conversion rates may vary. We do not guarantee specific results or return on investment. You are responsible for compliance with all applicable telemarketing and marketing laws when contacting leads.

8.2 Visitor Identification Services

For visitor identification services (Identley), you agree to use identified visitor data in compliance with all applicable privacy laws and our acceptable use policy. You must maintain appropriate privacy notices on your website.

8.3 AI Optimization Services

For AI optimization services (Optimizer IQ), results depend on various factors including AI platform algorithms, which are outside our control. We do not guarantee specific rankings or visibility in any AI platform.

8.4 Advertising Services

For advertising services (Blue Siren Digital Ads), you are responsible for the accuracy and legality of your advertising content. We reserve the right to reject or remove any advertising that violates our policies or applicable laws.

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This obligation survives termination of these Terms.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT GUARANTEE ANY SPECIFIC RESULTS FROM USING OUR SERVICES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREAT BLUE IQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Great Blue IQ and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:

• Your access to or use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or data

13. Termination

Either party may terminate these Terms at any time for any reason. You may cancel your subscription through your account settings or by contacting us. We may terminate or suspend your access immediately, without prior notice, for any violation of these Terms.

Upon termination, your right to use the Services will cease immediately. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

14.2 Arbitration

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the decision of the arbitrator shall be final and binding.

14.3 Class Action Waiver

You agree to resolve any disputes on an individual basis and waive your right to participate in a class action lawsuit or class-wide arbitration.
